These Terms of Service ("Terms") govern your access to and use of the AuthenTech AI platform and services. By accessing or using our services, you agree to be bound by these Terms.

AuthenTech AI provides a governed AI platform that enables organizations to use artificial intelligence tools safely and in compliance with applicable regulations including HIPAA.

Section 1

Acceptance of Terms

By accessing or using AuthenTech AI services, you represent that you have the authority to bind your organization to these Terms. If you do not agree, you may not use our services.

Section 2

Service Description

AuthenTech AI provides a governed AI platform including shadow AI discovery, PHI protection, multi-model AI access, audit logging, and compliance reporting. Services are provided on a subscription basis.

Section 3

User Responsibilities

You are responsible for maintaining the confidentiality of your account credentials, ensuring authorized use of the platform, complying with all applicable laws and regulations, and reporting any unauthorized access or security incidents.

Section 4

Data Protection

AuthenTech AI implements PHI protection, encryption, and access controls as described in our Security page. We maintain BAAs with all AI model providers and follow HIPAA requirements for data handling.

Section 5

Intellectual Property

All content, features, and functionality of AuthenTech AI are owned by AuthenTech AI and protected by intellectual property laws. Your data remains your property at all times.

Section 6

Limitation of Liability

AuthenTech AI liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.

Section 7

Termination

Either party may terminate with 30 days written notice. Upon termination, we will export your data in a standard format. Data retention follows our privacy policy.

Section 8

Changes to Terms

We may update these Terms with 30 days notice. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

Section 9

Acceptable Use Policy

Users shall not attempt to bypass PHI protection, share credentials, use the platform for illegal purposes, or attempt to extract training data from AI models. Violations may result in immediate termination.

Section 10

Confidentiality

Both parties agree to protect confidential information received from the other. This includes business data, usage patterns, governance configurations, and any information marked as confidential.

Section 11

Indemnification

You agree to indemnify AuthenTech AI against claims arising from your misuse of the platform, violation of these Terms, or breach of applicable regulations.

Section 12

Warranty Disclaimer

Services are provided "as is." While we maintain SOC 2 certification and HIPAA compliance, we do not warrant uninterrupted or error-free operation. We do not provide legal or compliance advice.

Section 13

Governing Law

These Terms are governed by the laws of the State of Delaware. Any disputes shall be resolved in the courts of Delaware. Both parties consent to personal jurisdiction in Delaware courts.
